These Terms of Service ("Terms") govern your access to and use of the social media management platform ("Platform") operated by Horizon Palm Realty Group ("Company," "we," "us," or "our"), a Florida-licensed real estate brokerage. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.
The Platform is a social media management tool designed for real estate professionals. It enables authorized users to:
The Platform acts as an intermediary to facilitate social media publishing and analytics aggregation. We do not own or operate any third-party social media platform.
The Platform is intended for use by authorized personnel of Horizon Palm Realty Group and its affiliated real estate agents. Access is granted at the sole discretion of the Company.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
By connecting a third-party social media account through the Platform, you authorize us to access and interact with that account on your behalf, including but not limited to publishing posts, reading analytics data, and retrieving profile information. These connections are established through industry-standard OAuth protocols provided by each respective platform. You may revoke any connection at any time through the Platform's settings.
You retain ownership of all content you create, upload, or publish through the Platform ("User Content"). By using the Platform to publish User Content, you grant us a limited, non-exclusive license to transmit, store, and display that content solely for the purpose of operating and providing the Platform's services.
All Platform design, software, text, graphics, logos, and other materials created by the Company ("Company Content") are the property of Horizon Palm Realty Group and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from Company Content without written permission.
Content published to or retrieved from third-party social media platforms is subject to the respective platform's terms of service and content policies. We do not claim ownership over content hosted on third-party platforms.
The Platform integrates with the following third-party services: TikTok, Facebook, Instagram (via Meta), LinkedIn, Twitter/X, and YouTube (via Google). Your use of these platforms through our service is additionally governed by each platform's own terms of service and policies:
We are not responsible for the availability, functionality, or policies of any third-party platform. Changes to third-party APIs or policies may affect Platform functionality without prior notice.
You agree not to use the Platform to:
When you authorize the Platform to publish content to your connected social media accounts, you acknowledge that:
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
We do not guarantee the accuracy, completeness, or reliability of any analytics data, engagement metrics, or other information retrieved from third-party platforms. Such data is provided by the respective platforms and may be subject to delays, inaccuracies, or limitations.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HORIZON PALM REALTY GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Horizon Palm Realty Group and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to your use of the Platform, your User Content, or your violation of these Terms.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. You may disconnect any connected social media account at any time through the Platform settings.
Upon disconnection of a social media account:
Upon termination of your Platform account, all data associated with your account, including connected account tokens, stored posts, and analytics, will be permanently deleted.
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after any modification constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Florida, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Horizon Palm Realty Group regarding the use of the Platform and supersede all prior agreements and understandings, whether written or oral.
